Customer terms

These terms govern your use of ProdSpur.

Summary

These Terms of Service are a high-level summary of how ProdSpur is intended to be used. If you have a separate written agreement with ProdSpur, that agreement may control.

1. Eligibility and accounts

You represent that you are legally capable of contracting and are using ProdSpur for business purposes. You are responsible for the actions of users you invite, including maintaining secure credentials.

2. Acceptable use

  • No unlawful content, harassment, or discrimination.
  • No reverse engineering, scraping, or interfering with platform security.
  • No sending unsolicited communications through ProdSpur.
  • Respect rate limits and operational controls we publish.

3. Data and privacy

You retain ownership of your customer data. You grant ProdSpur a license to process that data to provide and improve the service, consistent with our Privacy Policy and applicable law. You are responsible for obtaining necessary consents from your workforce.

4. Fees and billing

Paid plans, if applicable, are billed per the ordering document or online checkout. Taxes are additional where applicable. Late payments may incur suspension after notice. Free trials are provided "as-is".

5. Service availability

We aim for high availability for frontline operations but may perform maintenance with notice where practicable. Beta features are experimental and may change.

6. Warranties and disclaimers

ProdSpur is provided with commercially reasonable skill and care. To the maximum extent allowed by applicable law, we disclaim other warranties including merchantability and fitness for a particular purpose.

7. Liability

To the extent permitted by applicable law, we are not liable for indirect or consequential losses. Any caps or limits on liability may be governed by your agreement with ProdSpur.

8. Termination

You may terminate anytime by closing your account. We may suspend or terminate for breach or security risk with notice where possible. Upon termination we will delete or return your data per our Privacy Policy and backup timelines.

9. Governing law

These terms are governed by the laws of the jurisdiction where the contracting entity is established, without regard to conflict of law principles.
